Please see my note: I had a call today with Marty - my goal was to ensure that our two most important activities - Socialcast, MOTM/Events could remain under our control if we so desire. He assured me that was no problem. Our next step should be to schedule a time where there's nothing else on the agenda except to go through the AR proposal so that we can fine tune and add/remove anything that we don't want. Once that is done we give Marty the yay or nay and if it's yay he draws up a contract. The goal of us meeting to review the current proposal would be to reduce any back and forth on the final contract details. My guess is that we have a good 12 months of work for AR just in getting the structure of 90 Minds more formalized. Question: Should we invite potential future board candidates to be part of this conversation? If so - who? Moira? Shawn? John Hoyt? It might be helpful to get some outside eyes to review the proposal as well as participate in a discussion of the future possible directions for the group. I'd like to see us schedule an internal meeting within 3 weeks, with a goal of asking for a contract from AR by 4/30 and contract signed by 5/31.

I think we should approach them (Shawn, Moira, John, ???) about being board members before asking them to join this meeting. Yes, it can be the same conversation if they are interested in joining the board. ""That's great! We're having an important meeting with.....

I approve this ideas. Since this will be happening in our current board cycle I do not think it is necessary to get this with anyone other then ourselves in the decision of bringing AR on board. Honestly an outsider really wouldn't have a understanding/appreciation of our issue. With that said I do believe that we need to nominate possible additions to our board and plan on voting some one in once Wayne steps down.

I think we can have that meeting without other folks.

To be clear with my statement is let's meet with AR with current board. No non board members.

Step one should be for us to all read the AR proposal, understand it, then decide whether it represents the entirety of what we would like AR to assist us with. Decide whether there's anything missing or which needs changing. I think the amount of money AR proposes is fair for year one if the group also effectively uses AR to organize committees, internal meetings perhaps facilitate annual planning meetings. I do not know if year 2+ will require as much intensive oversight and the contract might be renegotiated.

Here is my take on things in light of Wayne's plan to return to private life. Our first priority should be board membership and bringing one (at least) person on to assume the leadership position. We should be able to do that fairly quickly as there are several members that come to mind. We can also discuss options for filling the other roles that Wayne will be vacating, namely web site management and blogging. I see two options there - Turn it over to AR or offering it to a member (Moira comes to mind) as a paid engagement. If a 90M'r fills the role, it would not be a board position. By filling the board position first, this allows the new person input into setting the direction of the group. Having been on numerous boards, I felt more engaged when I participated in important decisions than to have them handed to me by the previous board.

Who wants to be Marty's primary contact - I'll email him today.

@JeffSchwenk I hear what you are saying but we don't really have time to bring someone up to speed from the outside to have them replace Wayne. In the interim, as a temporary measure, someone from within this group should take over as president. We are going to need AR's (or someone's) help in this transition. I think that @ThereseLogeais, @JimWoodhead, and I all agreed on this last week. It was after you dropped off of the call. @ThereseLogeais there were a couple of motions that were made and passed last week. Do you have those that you can share?

And if the contract is for one year only, the incoming board members can be involved in that part of the process next year.

Having spoken to Moira a few times about her workload, if we ask her to do something more, she is likely to feel obliged to say yes but may not have the capacity to make it happen. Something to think about.

The first was a motion by Wayne regarding the new Acumatica group: ""We advise the Acumatica group liaison to admit existing 90 Minds Sage consultants (who may not be Acumatica-certified) and develop guidelines to keep the content as high quality as exists in other groups."" Motion seconded by Jim and all approved. The second was a motion by Jim regarding AR: ""I move to invite AR to a meeting/discovery call to further find out what they can do for our group."" I believe the motion was seconded by Robert and all approved. Wayne said he would contact Marty.

WRT last item, I spoke by phone this past Monday with Marty, he says that their proposal stands. They will do as little or as much and discuss options with the group. So the ball is in 90 Minds court. Either accept the proposal from AR as it stands or go back to AR with a list of modifications. I don't feel there's anything more that AR will share on a call without us having specific requests. On Monday's call with Marty I reiterated that: - Socialcast is very important to 90 Minds and we would not move off it without significant study/testing - Events would likely be retained within the group Both of the above items Marty indicated were no problem and AR would work with that.

The next step should be to go over the agreement and henpeck it a bit and figure out what we do and don't want them to do. Anyone see that differently? Added comment: What we want them to do may be absolutely nothing however, I see us needing help getting to the next level.
