Hi just wanted to let you know that the Nominating Committee has been notified about the two board vacancies and per a conversation with Jerry, the announcement of the vacancies to membership will occur sometime soon no later than Monday.
Here is the text of the email sent to the nominating committee:
We have two vacancies on the 90 Minds Board of Directors. We have not actively published this information, yet, and as members of the Nominating Committee, I wanted to explain the process for filling board vacancies between terms. When a board vacancy occurs before the board member's term is complete, the replacement is selected by the Board of Directors. The selected replacement completes the remainder of the vacating board member's term. Following is the bylaws clip on this:Section 3. Vacancies. Any vacancy occurring on the Board of Directors prior to the expiration of a term shall be filled by such person as shall be elected by <g class="gr_ gr_373 gr-alert gr_gramm gr_inline_cards gr_run_anim Grammar only-ins replaceWithoutSep" id="373" data-gr-id="373">majority</g>
vote of the remaining members of the Board of Directors. A Director so elected to fill a vacancy shall hold office for the unexpired term of his/her predecessor in office.Jeff Schwenk was removed by the board, and during April, John Hoyt regretfully resigned due to changing professional commitments. The board is actively considering members to fill these two vacancies. The Nominating Committee will follow the standard procedure for vetting a slate of Board of Director candidates eight weeks or more before Meeting of The Minds 2020. That slate may or may not include the interim board members that will fill these vacancies.
