My personal 2-cents.  The First Amendment to the Noncompete Agreement states under "2.d. Permitted Activities" includes:  "(viii)testing of data before and after upgrades and new system implementation for accuracy."  This clause in addition to supporting his ability to do financial statements (2.d.(i)), and part-time coverage for Treasurer (2.d.(vi), lends itself to "supporting his ability to use the 90Minds Platform to assist in his Permitted Activities".  

We really can't confirm if he is using his access for "other purposes" to connect with "old clients" or not.  My vote is that as long as Dan Ollar has personally paid for his membership, we should not "pause" or "terminate" the membership.  That is my vote, for now.

Question #2 - Is Dan's membership currently associated with Lehman Wesley (LW)?

If question #1 is NO, the rest is moot.

If both questions are yes, LW should have the right to change consultants associated with their firm.

If Dan is already using his own account, there is no action to be taken.

I agree with all comments from Madeline, Alnoor and Karen.  There is no specific language in the contract barring him from membership and it is not our obligation nor is it in our interest to put ourselves in the position of arbiter.  I really do not want to take sides.  

On a side... Dan should not post any questions regarding any clients which could in any way cause him to be in breach of contract, and if I was Dana, I would be monitoring for anything I could use to sue for breach of contract.  There should be a tail on his payout if LW was smart and Dan would be putting that at risk.

• Dan Ollar membership is not associated to LW.
• His certificates with Sage 100 are "up to date" he is a "consultant" (he offered to supply proof; which should not be necessary).
