I met with Paul Ziliak on Tuesday. He has suggested the following in trade: Alnoor's services for a two day intermediate scripting class for a 2015 PLATINUM Vendor Membership. The Platinum Vendor Membership is typically $12,000 for a full year and $6,000 for sign ups after May 1st. Paul told me that we have paid Alnoor $6,000 in the past. I'm good with this barter. Please let me know if there are any objections. If I don't hear back by Friday of next week, I am going to tell Paul that it's a deal. PS. I would forgo the typical ""sales commission"" on this one so it makes it even easier for 90 Minds.

How about Alnoor? Is he okay giving up the $6,000? Or is Paul compensating him? Am I missing something?

Alnoor is Paul's employee so I assume the thinking is that any compensation would go to xkZero. I will confirm with Paul on that.

I'm fine with this, and I guess it might not matter since we are a non-profit, but technically the IRS doesn't like barter without a special form (I forget) because no income or sales taxes are changing hands. BTW, don't dare want to open a can of worms, but do we have any sales tax liabilities?

I'm good with this. I think we need a very brief summary of benefits to give each new vendor members because it's awkward to take money then send a renewal toward the end of the year and they want to know what they got from March to December when MOTM is in February 2016. I also think that we must confirm vendor member attendance prior to December. We should probably start asking for deposits around October and looking to firm things up well in advance of December. We can't go down to the wire with planning for sessions. I would like to see us integrate our vendor members more into presentation (think Joe Bisaha, Brian Nunes) that are about solving business issues rather than product pitches. I know that throws some of them off their canned approach but it would be nice to have the vendors evolve their presentation into more mini-training. @MarkChinsky question about sales tax is an excellent one.

Why don't we talk to Alnoor directly?? We don't know what their relationship is. We need to hear it from Alnoor that that is the way HE wants it. Maybe Alnoor was thinking about taking vacation time. Maybe it is spelled out in his employment contract? BTW, who is Alnoor's handler within the group? Robert? Therese? Now Peter? Regarding the bartering, I do it on occasion with my clients. However, I am not really going to put my kahunas on the line for the group. Let's keep it simple. We can invoice Paul for the vendor membership with terms of payment in full by July 31st. I will put an AP invoice on the system for the $6k after Alnoor's session and then wipe the two out via the AR to AP clearing Utility. Paul will also receive a 1099 next January for our payment and I am sure we will get one from him. Regarding Sales taxes, what do you have in mind, Mark? We only provide services, no tangibles. I could reach out to someone at Avalara.

    Alnoor works for Paul.

So Alnoor can't do anything on the side? This is over the weekend, is it not?

Most businesses don't appreciate people doing things on the side. Just my opinion. I'm checking with Paul.

Why don't we check with Alnoor? Our relationship has been with Alnoor. If this is changing, it is up to Alnoor to tell us. Just my two cents, but that is the way I would want to be treated.

Ok - you go check with Alnoor. I'm checking with Paul.

I emailed Alnoor this morning asking about cost in addition to other things.

I'm ok with it but I do think that we need to discuss with Alnoor. If something where to happen and Alnoor were to break free from XKZero would xkzero be responsible to have Alnoor train or would we. Plus this would only be 1 year deal too.

It would be through end of 2015. Not a full year.

Jim, are you working through Paul for the rebuild sorts after TC import request that you posted last night?

From Paul ""It was his idea. "" Too many damn cooks in these kitchens. This is really ridiculous.

This is the 90 Minds way.

I'm just catching up. Alnoor was going to be running it through zkzero, so that part of the accounting is between them.

  • 22.  RE: I met with Paul Ziliak on Tuesday. He has suggeste

    Posted 03-27-2015 08:42
Alnoor didn't feel like it would be appropriate for him to do it on the side and that it would be promoting his work at xkzero more appropriately.

    Posted 03-27-2015 08:45
When I asked Alnoor about pricing he said Paul and Peter were working it out.

    @JeffSchwenk some states tax services.

Sorry! Therese and I should have been in better contact. My bad!

    Posted 03-27-2015 09:12
Back to tax, some services are taxable (IT services are, ERP are not in NJ), but wondering if the conference might be (if we have nexus in CA) etc. Sorry, I don't want to open any cans of worms, but I guess I did... I just know the one area states aren't skimping on are sales tax enforcement these days. Perhaps it doesn't apply to non-profits, not sure

And here we go back to everyone playing every position. Nicely done!

Yeah right. Great job. Seems to me a bunch of sound and fury signifying nothing. I believe that we need to get someone full time to deal with this administrative stuff. We are all too highly compensated in our full time jobs to deal with this mickey mouse crap like this. Plus we just create our own barriers to success with too many cooks in the kitchen.

It's all been much ado about nothing.

I've said a few times that I'm working with Alnoor on the scripting class and I would be the point of contact. I thought everyone was OK with this including Therese. If my understanding is incorrect, please let me know directly. This is at Alnoor's request. I'm working with him on the material and it makes it easier for him to have one contact.

I was okay with it but I was asked to verify it. The problem is, we never seem to know who the cook is. Sorry Robert for stepping on your toes.

My toes aren't stepped on and my feelings aren't hurt. I'm not angry. I just wanted to clarify my understanding. I was teaching a class this morning and didn't see this thread until I finished with the class or I would have posted before this thread got all worked up. The only detail that came out of this thread I didn't have was what the arrangements were between Paul and Peter and could have circumvented some of the angst earlier.
