Higher Logic The online terms and conditions was a hyperlink in the Higher Logic quote sent to Robert, Jeff and Jerry, _The following lists the subscriptions and services included in this order and are governed by the terms and conditions of our Online License Agreement._ I've printed it out and attached. It answers some of today's questions.

Thanks. Part of this is that I, for one, was not expecting to find T&C in the license agreement. It is unusual. It looks to me like we will be on the hook for the $15.9k for all 4 yrs. There is 'wind down' that is often found in these agreements. I am ok with this because I'm quite sure we'll be able to meet it and also get good value from it.

Q1: Price of 2 year vs. 4 year A1: Same - you can have a 2 or 4 year term. However, if you read T&C you will have a price increase in year 3 if you choose a 2 year term, 2 years earlier than a 4 year term. Q2: Was the $3,000 discount a reduction of implantation hours or a reduction of the rate per hour? A2: Implementation is not billed on T&M. The discounted rate was to entice you to move forward. Q3: If the organization cannot complete a 4-year contract, what are the exit options? A3: Termination please see section 7. Either party must give at least sixty (60) days notice prior to the end of the initial term. After the initial term the agreements continues in one (1) year increments. Q4: If we signed today, when can we start the project? A4: implementation starts 24-48 hours after receipt of an executed agreement. Our implementation typically takes 8-12 weeks, and since we are also going to be migrating content, we need a signed contract back as soon as possible so we can align resource, kick off and work towards your date. Our implementation team always tells us that most of the lag in implementation time comes from the client side, and that we can move as quickly as the client can. Anything else? @JeffSchwenk @JerryNorman @JimWoodhead @RobertWood @JohnHoyt

Great. Thanks. From a price-strategy perspective, I respect their 2- vs 4-yr terms. The termination description matches my interpretation of that clause. Let us know when have this executed! On to the ""fun"" stuff!

That's all about like I expected.

Thanks for the research. Green light from me. Looking forward getting started

If the implementation is **NOT** based on hours, then they will not have any issue removing that phrase from the price quote sheet. NOTE Implementation fees _**consist of 30 hours and**_ do not include migration of existing data if applicable, redesign of existing website, email validation for auto-subscriptions to Discussions or customizations to baseline products. Higher Logic time and materials rate is $200/hr. If Subscriber is licensed for Content Manager, which includes 25 Microsites, Higher Logic will provide support to create one model Microsite. Additional Microsites are sold in bands of 25. If travel is required Subscriber pays for travel and expenses. Initial Term is 48 months starting at agreement signature. I am fine with it then. Time to move on.

@MoiraGoggin - What is the status of the contract? I see you just announced it on SC. Please post the copy that you signed. I need it for my records.

It's all in Google drive and it has been shared with all of the board members.

I will be unable to access the Google drive while in the office. I can get to it once I am at home tonight or tomorrow morning.

How about just emailing me the documents?

I hope you and Robert can figure out why this shared platform is not working in this case. It is better for communication to run it all through here and Google Drive shared with Board members than a flurry of emails. Better in the long run, but frustrating in the shorter run...

  • 19.  RE: Higher LogicThe online terms and conditions was a

    Posted 10-03-2018 17:22
The reason it's not working in this case is that Jeff chooses to not use his 90 Minds email and would prefer we add his gmail account to everything we post to the Google Drive.

  • 20.  RE: Higher LogicThe online terms and conditions was a

    Posted 10-03-2018 17:23
@JeffSchwenk if you use your 90 Minds email account to access the Google Drive, it will work for you.

  • 21.  RE: Higher LogicThe online terms and conditions was a

    Posted 10-03-2018 17:26
Well, it certainly helps if that is pointed out to begin with. I believe the original share was with jschwenk@btmlinesoft.com

So we are back to guessing PW's (and even guessing email addresses but I got past that step). I don't use my 90Minds gmail account, never have. It doesn't match even match my SC login jschwenk@90minds.com. Not sure when this decision was made to exclusively deal with google docs, but unless you are expecting me to post every invoice I pay in it, email works just fine for me. Otherwise btmlinesoft@gmail.com is my official Gmail account.

  • 23.  RE: Higher LogicThe online terms and conditions was a

    Posted 10-03-2018 17:56
@JeffSchwenk its more work for the people creating & maintaining the documents to have to share everything with each individual board member's preferred email address. It's much easier to give anyone with a 90minds email address access. I'm not sure an actual decision was made but Moira mentioned that she was posting to the Google Drive And everyone could access it with their 90Minds account. Would you like me to change your 90 Minds SC login to match your current 90Minds email address? Wayne changed them all to first.last@90minds.com a few years ago.

  • 24.  RE: Higher LogicThe online terms and conditions was a

    Posted 10-03-2018 18:16
No need to. Just use btmlinesoft@gmail.com for my official access to Gdocs. Life is good until someone moves the cheese. I am NOT opposed to storing items on Google. A little heads up would have been appreciated.

  • 25.  RE: Higher LogicThe online terms and conditions was a

    Posted 10-04-2018 08:30
@JeffSchwenk if only it were that straightforward. When a folder gets created or document gets shared they have to remember to add your address manually. There isn't a magical ""official access"" except to share to a 90Minds.com email group or to the entire 90Minds.com email domain in Google Drive. Moira did say she would share docs on Google Drive which we can all acces with our 90 Minds email account so a heads up was given. It just didn't get reinforced beyond a mention in Denver.
