Final Bylaws. This feels like some zombie issue. A check of the BOD minutes since January did not show a final vote approving these. We'll add this to today's Old Business. Robert, please do a very quick check to confirm that it is the same you reviewed last night, but without the markups.

It was pending a final version being published that included the change to the number of members on the board, and one other clarification that Ted had made. I'm looking up the agenda date for this.

Yes. It's the Jan 11 Minutes. But the final still needs a vote. We were going to do that in San Diego, but ...

Good point, it wasn't on the agenda though for the annual meeting.

Each Board Member must read the document and vote ""yes"" or ""no"" on its approval. Can we all do this by 4/19? I vote ""yes.

@RobertWood - Is that a yes vote for getting it done by the 19th or a yes vote for approval?

Why I think a vote by the 19th is very doable. Will put it on my weekend reading list.

Too busy binge watching the reboot of ""Lost in Space"" on Netflix over the weekend. 10 hours of non stop action. NOT your daddy's version of LIS from the 60's.....

My .02 worth. 1) Logo usage, color scheme - Page 1 I suggest we use the official logo in the upper right corner instead of the present rectangle. Also suggest using a color that matches or is complementary with the colors of the logo. 2) Page 3, Section 4, paragraph a - Based on the beginning of the dues year being 11/1, the six month date is May 1, not April 1. April 1 should be changed to May 1. Same applies to paragraph b as well. 3) Page 7, Section 1, paragraph b - Incorrect word used. Suite should be suit. 4) Page 8, Article IX, second paragraph - Typo Mindsorganization should be Minds organization. See attached for highlighted areas of concern (except for logo and color scheme comment) If these changes are made, then I will vote yes.

My only question pertains to the definition of a Consultant Member. We have discussed in the past the requirement that a firm with members have some type of Sage certification or authorization, such as a reseller. Each member does not need to have a Sage certification as long as the firm has this, since there may be a Netsuite or similar non-Sage consultant that does not work with Sage. As I interpret Article III Section 1 on page 1 it only mentions "". . . from a recognized major software publisher as determined by the membership committee."" There is no mention of Sage specifically. Is this no longer a requirement? Other than that question, I approve this document subject to the clarifications and corrections specified by Jeff Schwenk above.

Under committees there are 4 permanent ones. Would it make sense to consolidate education into events? May be Events & Education? The would leave membership, promotions and events (& education).

@JohnHoyt that was worded that way to give us flexibility if we decided to open an Acumatica only group or another publisher.

Moira, if we merge Ed and Events then we have one chairman for both sets of activities, and cmte membership for both. I know they overlap, but I think it would dilute any focus on non-event education. The Bylaws don't spec any meeteing requirements, so not meeting for 6 months is not contradicted. I think we just leave this alone.
