Bylaws and replacing Therese on the Board. I checked our draft Bylaws to see if it covers vacancies like this. It does. Article VI, Sect 3: ""Any vacancy occurring on the Board of Directors prior to the expiration of a term shall be filled by such person as shall be elected by the remaining members of the Board of Directors. A Director so elected to fill a vacancy shall hold office for the unexpired term of his/her predecessor in office."" So, we'll need to recruit somebody from the membership for this. We can discuss possibilities Thursday. I haven't heard any questions or concerns about the draft. I do hope we can approve this next week. Should we plan on a 90 minute meeting?

@JerryNorman, I've asked John to step up as a Board Member at Large to Secretary. I've talked that over with you, Jim, Robert, and Jeff. Remember? Happy to talk it over, as needed. Also, I sent the Bylaws off to Ted the attorney for review and suggest waiting on the vote until that's completed. I'd love to have a 90 Minute meeting for other items though. 90 minutes for 90 Minds.

I am talking about replacing the Board seat, not the officer. A different problem. And I **do** thank John for stepping into Therese's shoes for this job!

Jerry, We can discuss it at the meeting. It is not imperative to a replace board member by the next board meeting. We will put a plan together and discuss the best approach.. This is not the first time this has happened. I will extend the meeting to 90 minutes. and add this to the agenda. Any other topics?
